Bylaws



ARTICLE I - NAME


The name of the organization shall be the "National Institutes of Health Community Orchestra" hereafter referred to as the NIH Community Orchestra.



ARTICLE II - MISSION


The mission of the NIH Community Orchestra is to provide an opportunity for musicians to meet and play quality music in a friendly environment. Concerts will be performed to raise money for NIH charities.



ARTICLE III - MEMBERSHIP


SECTION A - MEMBERSHIP TERM:

All memberships are for a period of one year, commencing on January 1 and terminating on December 31 of the same year.


SECTION B - DUES:

The Executive Board shall determine Annual dues for all membership classifications.


SECTION C - MEMBERSHIP CLASSIFICATIONS:


  1. FULL MEMBERSHIP - Full voting membership for musicians actively playing with the orchestra who have paid orchestra dues in full and are active members of the NIH Recreation and Welfare Association, which is the NIH Orchestra's primary sponsor.


  1. ASSOCIATE MEMBERSHIP - Non-voting membership at a reduced level of funding support for individuals who wish to provide a basic level of support for the NIH Community Orchestra.


ARTICLE IV - EXECUTIVE BOARD


The Executive Board of the NIH Community Orchestra shall be composed of the board appointed NIH Community Orchestra Director(s), the elected NIH Community Orchestra officers. The Executive Board shall have full authority in all matters of the NIH Community Orchestra, including the disposition and disbursement of funds. The Treasurer shall be authorized to sign checks and disburse funds.


ARTICLE V - OFFICERS AND DUTIES


SECTION A - OFFICERS:

The officers of the NIH Community Orchestra are: President, Vice President, Secretary, and Treasurer. Officers are elected annually for a term of one year.


SECTION B - PRESIDENT:

The President shall preside at all meetings of the membership and the Executive Board; and call for an audit of the organization's financial status prior to close of the year's activities.


SECTION C - VICE PRESIDENT:

The Vice President shall assume the duties of and exercise the powers of the President in the absence of the President. The Vice President shall assume the office of the President should that office become vacant at any time after the election of officers.


SECTION D - SECRETARY:

The Secretary shall keep accurate records and minutes of all meetings of the membership and the Executive Board: maintain all records and valuable papers of the NIH Community Orchestra, including membership records; and conduct the correspondence of the organization as directed by the President.


SECTION E - TREASURER:

The Treasurer shall keep accurate records of all -financial matters regarding the NIH Community Orchestra, and shall regularly report the financial standing of the NIH Community Orchestra to the membership and Executive Board.


ARTICLE VI - ELECTION OF OFFICERS


SECTION A - NOMINATING OF OFFICERS:

Any member in attendance may nominate an individual for any office at the annual meeting. Officers will be elected from the nominated individuals. Once elected the individual must accept the position in order to become the officer.


SECTION B - VACANCIES:

The Executive Board shall fill the vacancy for the incomplete term of any elected office.


SECTION C - TERM OF OFFICE:

The term of office for each elected officer shall be a one-year period commencing on January 1 and expiring on December 31 of the same year.


ARTICLE VII - MEETINGS


SECTION A - EXECUTIVE BOARD MEETINGS:

The Executive Board shall meet as required to handle critical situations that require immediate action. The attending members must be a quorum of 2 members in to order conduct these meetings.


SECTION B - ANNUAL MEETING:

The annual meeting of the NIH Community Orchestra will be held in January of each year for the purpose of election of officers for that year and conducting other NIH Community Orchestra business. A quorum of minimum of 2 board members and a total of a minimum of 5 full members must be present to conduct an annual meeting.


SECTION C - GENERAL MEMBERSHIP MONTHLY MEETINGS:

Meetings will be held on a monthly basis for the purpose of planning and execution of NIH Community Orchestra business. This includes establishment of committees, elections of committee chairpersons, dissemination of information concerning all aspects of the orchestras operation through reports (directors reports, treasurer's reports, committee reports), discussion and voting on issues regarding old and new business, and reading of last meetings minutes and correspondence addressed to the NIH Community Orchestra or its officers. A quorum of minimum of 2 board members and a total of a minimum of 5 full members must be present to conduct a general meeting.



ARTICLE VIII - COMMITTEES


Committees are created by the general membership in the annual or general meetings. Committee chairpersons are also nominated and elected in the same meetings. A committee cannot exist without a chairperson.


ARTICLE IX - BUDGET


SECTION A - PREPARATION:

The Treasurer shall prepare a budget at the start of each fiscal year with the goal of improving and enhancing the NIH Community. No revenues or expenses will inure to the benefit of any individual member of the NIH Community Orchestra. All orchestra positions are volunteer positions, and members will receive no pay for tasks performed.


SECTION B - APPROVAL:

The Executive Board will present the proposed budget to the membership for approval at the first general meeting following the annual meeting.


SECTION C - ADMINISTRATION:

The Executive Board shall have sole authority for the administration and execution of the budget upon approval of the budget by the membership. Additions and amendments to the approved budget may be made by the Executive Board as required to meet the mission of the NIH Community Orchestra.


ARTICLE X - DISPOSITION OF PROPERTY

In accordance with Article 6 of the articles of association, upon the dissolution of the Association, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

ARTICLE XI - AMENDMENTS


These Bylaws may be altered or amended only by a majority vote of the members-in-good-standing of the NIH Community Orchestra at a general meeting. The intent to alter or amend these Bylaws must be announced and publicized at least ten days prior to the date of the meeting.
